These Terms and Conditions govern all engagements between Cystall ("we", "us", "our") and clients ("you", "your"). By engaging our services you agree to these terms in full.
1. Scope of Work
Every project begins with a written scope of work agreed upon by both parties before work starts. This document defines deliverables, timeline, and price. Any work outside that scope is subject to a separate quote and approval before we proceed.
We reserve the right to decline any project or request that conflicts with our values or capacity.
2. Payment Terms
All prices are quoted in USD. Payment schedules are as follows:
- Fixed-price projects under $2,000: 100% upfront before work begins.
- Fixed-price projects $2,000 and above: 50% deposit before work begins, 50% upon delivery.
- Monthly retainers: Invoiced at the start of each billing cycle, due within 7 days.
Invoices not paid within 14 days of the due date may result in work being paused. We do not start a new billing cycle or new project until outstanding invoices are settled.
3. Revisions
All fixed-price projects include a revision round as specified in the scope document. Revisions address items within the original scope - they are not an opportunity to change scope, direction, or add new features. Additional revisions beyond what is included are billed at our standard hourly rate.
4. Intellectual Property
Upon receipt of full payment, you own all custom code, designs, and assets created specifically for your project. We retain the right to showcase the work in our portfolio unless you request otherwise in writing before project start.
We may use third-party libraries, frameworks, and open-source tools. These remain subject to their respective licences. We will disclose any material dependencies upon request.
5. Confidentiality
We treat all client information as confidential. We will not share your business details, source code, or proprietary data with third parties without your written consent, except where required by law.
6. Client Responsibilities
Timely delivery of our work depends on you. You agree to:
- Provide access, credentials, and assets required for the project within a reasonable time.
- Give feedback within the timeframes agreed in the scope document.
- Nominate a single point of contact with authority to approve deliverables.
Delays caused by late feedback or missing assets may extend the project timeline. We are not liable for deadline overruns that result from client-side delays.
7. Project Pauses and Cancellations
If you need to pause a project, let us know in writing. We will hold your project slot for up to 30 days. Beyond that, re-starting is subject to availability and a restart fee.
If you cancel a project after work has begun, you forfeit the deposit. If you cancel after the final deliverable has been provided, the full invoice remains due.
8. Warranties and Limitation of Liability
We warrant that work is delivered with reasonable skill and care. We do not warrant that software will be entirely free of defects - we commit to fixing bugs within the scope of the original project for 30 days post-delivery at no charge.
Our total liability for any claim arising from our services is limited to the amount you paid us for the specific project in question. We are not liable for indirect, consequential, or loss-of-profit damages.
9. Governing Law
These terms are governed by the laws of Bangladesh. Any disputes that cannot be resolved amicably will be referred to the appropriate courts in Dhaka.
10. Changes to These Terms
We may update these terms from time to time. Current engagements operate under the terms in place at the time the scope was agreed. New projects are subject to the terms current at that time.
